Q: What is Club Lespri?
A: Club Lespri is a world class Boutique Inn, Spa,
Dining and Recreational facility located in the renowned Olympic
destination of Park City, Utah: featuring an exclusive, private
equity club in what has been rated the #2 destination for second
home ownership in the country (USA Today).
But Club Lespri is not just a package of tangible benefits, nor
can it be understood through a description of physical attributes
alone. Club Lespri is a feeling. . . an experience. . . friendships
among the members. The Club becomes your Park City community.
Q: Is Club Lespri open to the public?
A: No. Club Lespri is operated for the use, benefit
and enjoyment of its members, their families and guests.
Q: How do Members typically use the Club?
A: At Club Lespri, you're not just buying a one, two
or three bedroom condominium. You're purchasing your own private,
amenity-rich, 10,000 square foot mansion that comes fully staffed
and equipped to assist you with all of your lodging, spa, dining,
recreational and entertaining needs.
You'll come to enjoy the community of fellow members at the Club,
but are also welcome to bring your own community of family, friends
and business associates to the Club.
Whether a brief visit to the spa or restaurant, a corporate perk
to key clients or employees, a romantic getaway in a single suite,
a family outing that reserves a whole floor, or a corporate retreat
that uses the entire facility; you're the owner, but have none of
the hassles.
As a Member you can simply stop by to enjoy the amenities. Or you
can use one room, two rooms, a whole floor or the entire 10 room
facility and can stay one night, a week-end, a week or more depending
on your needs for each trip to the Club. We've even seen Members
reserve the entire facility: rooms, restaurant, spa and other amenities
for a private function.
Q: Can I use the facilities and amenities at Club Lespri
when I am not in residence?
A: Yes. Members are encouraged to spend time at the
Club. This is your community.
Q: Do Members have guest privileges?
A: Yes. All Members are welcome to use the Club for
their family, their friends, and even business uses such as hosting
clients, employees or corporate retreats, as outlined in the Club
Documents. Your guests are welcome in the Member Suites, the Lespri
Spa, Cellars Restaurant or any of the other amenities. In fact,
our Members tend to use the Club as much for their guests as they
do for themselves.
Friends, family or colleagues who you host and pay for under your
Club account will be warmly welcomed and acknowledged as your personal
guests. Guests of Equity Members who will pay for their own services
(whether in the Member Suites, the Naturopathica Spa or the Cellars
Restaurant) will be registered as Temporary Members during their
stay.
Q: Can Members rent or sell their access, appointments
or reservations at Club Lespri?
A: No. Club Lespri is reserved for the enjoyment of
its Members and their invited guests. Just like at any fine equity
club, it would be considered in poor taste to sell your Club access
privileges to the general public. At Club Lespri such behavior is
grounds for expulsion from the Club.
Q: Will there be reciprocal privileges with other clubs?
A: Yes. Members will have access to future Club Lespri
locations through reciprocal agreements that will be established.
We are currently exploring opportunities in destinations such as
coastal California; downtown San Francisco; Napa Valley, California;
Cabo San Lucas, Mexico; Coastal Islands in the Carolinas; Scottsdale,
Arizona and Hawaii. Equity Members are a driving force in determining
future Club Lespri locations.
In addition, Club Lespri has established reciprocal access agreements
with other like clubs in destination markets such as Chicago, Illinois;
Las Vegas, Nevada; Scottsdale, Arizona; Newport Beach, California
and others throughout North America and will continue to expand
its network of external reciprocal clubs and vacation benefits.
Q: What is there to do at Club Lespri?
A: Plenty to do . . . or absolutely nothing to do
at all. Enjoy the tradition of Club Lespri with close friends, good
food and fine wines. Invigorate your palate with the savory offering
of USDA prime steaks and fine wine in the Cellars Prime Steak &
Spirits restaurant. Rejuvenate your mind, body and soul through
a unique blend of ancient healing traditions in Lespri's "Naturopathica"
spa. Or venture out to experience the four seasons of Park City:
knee deep powder in winter, five months of the world's greatest
golf weather in summer, breathtaking foliage in fall, or any one
of the many festivals and events held year round. So what do you
want? You want it all and Club Lespri at Park City's got it.
Q: How is the Club designed and decorated?
A: Everything about the Club is designed to strengthen
community. Amenities have been carefully selected and designed to
provide a social environment where members enjoy spending their
time, have the opportunity to get to know one another and can build
friendships. The atmosphere is welcoming and casual: A place where
you are at ease and among friends and can be yourself.
Each piece of furniture in the member suites is hand crafted from
solid knotty alder. And every fabric, including the luxurious down
comforter, is hand sewn and custom-made for Club Lespri. You'll
also enjoy a full kitchen, exquisite granite countertops and a cozy
fireplace. Entertainment is furnished via state-of-the-art flat
screen television, DVD and B&W audio electronic systems. Attention
to detail makes each master bath a luxury experience in itself.
From the oversized garden tub to the hand chipped marble floors,
nothing is left to chance.
The décor of Cellars Prime Steak & Spirits invokes the
old world feel of a vineyard tasting room through cork wood flooring,
stone walls, heavy wood wainscoting and cabinetry, black granite
countertops and luxurious leather upholstery. At the same time,
the distinct dining room wine cellar, holding nearly 1,000 bottles
of the world's finest vintages, tastefully combines contemporary
and classic architecture.
The Lespri mansion features many classic works by history's greatest
artists (including Van Gogh, Monet, Picasso, Cezanne, Gauguin, Toulouse-Lautrec,
Delacroix and others) - masterfully recreated in mural form.
Q: Who is in charge of day-to-day services?
A: The Club has hired Lespri Resort Property Management,
a leader in Park City lodging, to operate the Club. An attentive
staff is responsible to ensure that every aspect of your stay is
enjoyable, with unobtrusive service that practically anticipates
your every whim.

Q: What is Equity Membership?
A: The key benefit of any private membership club
is access to the facilities. Equity Members enjoy full rights to
use the Member Suites, Lespri's Naturopathica Spa, Cellars Restaurant
and all other amenities located within Club Lespri. Another important
benefit of membership at Club Lespri is the sense of community provided
to each Member. As was said of the famous television bar, Cheers,
"It's nice to know there's one place in the world where everybody
knows your name and they're always glad you came." Club Lespri
will become your home base, your community in Park City.
Q: What is the legal structure of the Club and ownership?
A: Club Lespri is an equity club, similar to a golf
equity country club. Instead of reserving tee times, our Members
reserve room nights, make appointments in the spa or schedule dinner
in the restaurant. As with any equity club, the vehicle for ownership
is Equity Membership. Together, the Equity Members own the Club.
The Club, as a whole, owns the deed and title to the Club Facilities.
The Members control the direction of the Club through a member-appointed
Board of Directors. Major issues, such as annual budgets, appointments
and elections, capital improvement projects, and definition of the
various membership rights are decided only by the vote of all Equity
Members.
Q: Why was the equity membership club concept developed?
A: Equity membership clubs have been around for hundreds
of years, providing the legal structure for some of the finest country
clubs in the world. Club Lespri's unique adaptation of this proven
legal structure is designed to emulate second home ownership, but
with a full service staff and amenity package, while eliminating
the extra expenses and responsibility.
Q: Are there similar clubs at other prestigious resort
communities?
A: Yes. Membership country clubs operate with great
success in nearly all of the world's leading resort destinations
and membership city clubs can be found in most of North America's
great cities. Other membership clubs with lodging accommodations
in desirable locations include, among others: The New York Athletic
Club in New York, NY; The Olympic Club in San Francisco, CA; Sanctuary
in Scottsdale, AZ; Union League Club of Chicago in Chicago, IL;
or Balboa Bay Club in Newport Beach, CA.
Q: Are corporate memberships available?
A: Yes. Equity Membership at Club Lespri can be held
by any legal entity, including: corporations, estates, trusts, partnerships,
limited liability companies, and so forth. This structure allows
Members to expense the membership corporately, but still enjoy the
benefits of membership personally as well.
Q: Can more than one family or individual own a single
membership?
A: Yes. However, each Equity Membership must designate
a representative to be the direct contact with the Club and assist
all joint owners in the usage of the Club and its facilities, in
compliance with Club Documents.
Q: Who controls the Club and its policies?
A: Club Lespri is just like other member-owned clubs.
Thus, the Equity Members have the ultimate voice regarding Club
policies and membership.
Q: Are Members allowed to modify the Club Facilities?
A: No. However, the Members do own the Club Facilities.
Therefore, we encourage Members to make suggestions to the Board
of Directors for improving their Club.
Q: How many Equity Memberships will be available
in the Club?
A: In order to ensure availability for Owner usage,
we've strictly limited the number of Equity Members to no more than
106: 100 Charter/Signature Members and 6 Founders.
Q: How do I plan or schedule my time at the Club?
A: In contrast with shared ownership resorts, you
are not purchasing a set amount of time nor any particular unit.
Instead, each Member has full access to the entire Club, including
the Member Suites, the Naturopathica Spa, the Cellars Restaurant
(and any other existing or future amenities) and enjoys as much
personal or guest use as they desire under the established reservation
policies.
In the Member Suites specifically, Equity Members have the opportunity
to plan time at Club Lespri in one of two ways: planned reservations
or last minute reservations.
For planned reservations, each Equity Member is permitted to have
up to 30 room nights reserved in the system at any one time ("30
Day Allowance"). As Members use any portion of the 30 Day Allowance,
new planned reservations can be made.
In addition, last minute reservations can be made within 90 days
of arrival. All room nights not used by the membership under planned
reservations become available to any Equity Member on a first-come
first-served basis for last minute reservations. There are no limitations
on the amount of use within the 90 day window and last minute reservations
do not impact the 30 Day Allowance under planned reservations.
Q: Is Club Lespri a timeshare?
A: No. Club Lespri is not a timeshare nor even a real
estate offering. Ownership in the Club is derived by an equity membership
structure, similar to a golf equity country club. In a golf equity
country club no one member owns the 17th fairway or the July 4th
7:00 a.m. tee time. Rather all the members own the entire golf course,
clubhouse and associated amenities together through the membership
club. Similarly, at Club Lespri no one member owns a certain unit
or a specific period of time. Rather all of the Club members own
the entire facility together. Remember, your use of the facilities
is unlimited and is governed only by space availability among the
other Members.
Q: What are my costs of ownership at Club Lespri?
A: There is only one cost of Equity Membership at
Club Lespri. Each Equity Member pays an initial Membership Contribution
to join the Club.
The Club has no annual fees or dues for its Equity Members.
Q: Are there any additional fees when I stay at the Club?
A: We believe that a "cashless" experience
at the Club helps further the relaxation and enjoyment for our Equity
Members and their guests while in residence. All charges for daily
housekeeping (the "Facility Fee") and other incidental
charges you might incur for spa services or dining in the restaurant
may be charged directly to your membership account.
Q: Will there be fees if I don't stay at the Club?
A: No. Club Lespri has no annual fees or dues for
its Equity Members. If, for whatever reason, you do not use the
Club for a period of time (brief or extended) there will be no charges
to your member account, as outlined in the Club Documents. The Facility
Fee to cover daily housekeeping is only charged when you actually
stay at the Club Facilities and the Club has no monthly or annual
minimums in the Naturopathica Spa, Cellars Restaurant or other amenities.
Q: Can an Equity Membership be resold?
A: Yes. An Equity Member may resign and sell their
membership through the Club. Otherwise, there would be no way to
access the equity value in the Membership. The resigning Member
is entitled to the proceeds of the resale price, less any transfer
fees or other outstanding amounts owed to the Club, as provided
in the Club Documents.

Q: What is Social Membership?
A: As with the Equity Membership, the key benefit
of any private membership club is access to the facilities. Social
Members enjoy access to the full offering of Club amenities, including
the Member Suites, Lespri's Naturopathica Spa, Cellars Restaurant
and all other amenities located within Club Lespri. As with the
Equity Membership, Social Members also enjoy the sense of community
provided to each Member. Club Lespri will become your home base,
your community in Park City.
Q: What are the differences between Social and Equity
Membership?
A: Social and Equity Members are part of the same
community and share access to all amenities inside the walls of
Club Lespri.
However, Equity Members enjoy priority rights in the Member Suites.
They also control the direction of the Club through their right
to vote and by involvement on the Board of Directors and other Club
committees. In addition, Equity Members enjoy unaccompanied guest
privileges at Club Lespri, whereas Social Members enjoy accompanied
guest privileges.
Where Equity Memberships are in perpetuity, Social Memberships
must be renewed annually - if and under the terms offered by the
Board.
Q: Are Social Memberships available to corporations or
can more than one family or individual own a single Social Membership?
A: No. Social Memberships are intended for individual
families or persons and their accompanied guests.
Q: How many Social Memberships will be available in the
Club?
A: The precise number of Social Members at Club Lespri
has not yet been determined. However, we anticipate that the Club
has capacity for several hundred Social Members. The Club also reserves
the right to limit or reduce the number of Social Memberships made
available for purchase or renewal each year.
The Board of Directors watches usage trends closely to ensure that
the Club Facilities are not overused and remain reasonably available
for use by the Equity Members. The Club reserves the right to reduce
the number of Social or other memberships made available for purchase
or renewal each year or even to eliminate such memberships.
Q: How do I plan or schedule my time at the Club?
A: In contrast with shared ownership resorts, you
are not purchasing a set amount of time nor any particular unit.
Instead, each Member has full access to the entire Club, including
the Member Suites, the Naturopathica Spa, the Cellars Restaurant
(and any other existing or future amenities) and enjoys as much
personal or guest use as they desire under the established reservation
policies.
In the Member Suites specifically, Social Members are welcome to
make room reservations on a first-come first-served basis within
a 60 day window at the Social Member Rate. This means that all room
nights not previously booked by the Equity Members are released
to the Social Membership 60 days out for last minute reservations
based on space availability. There are no limitations on the amount
of use allowed within the 60 day window.
Q: What are my costs of Social Membership at Club Lespri?
A: The Social Membership is a one-year membership
and must be renewed annually. The Board of Directors has set that
price at $1,000 currently.
Q: Are there any additional fees when I stay at the Club?
A: We believe that a "cashless" experience
at the Club helps further the relaxation and enjoyment for our Social
Members and their guests while in residence. All room charges and
other incidental charges you might incur for spa services or dining
in the restaurant may be charged directly to your membership account.

involved in the Club simply allows their membership to expire on
their anniversary date.

Q: Are there other forms of membership in Club Lespri?
A: Yes. On a limited basis, the Club will offer introductory
forms of membership to provide a short-term experience of the benefits
and privileges at Club Lespri.
The Board of Directors watches usage trends closely to ensure that
the Club Facilities are not overused and remain reasonably available
for use by the Equity and Social Members. The Club also reserves
the right to reduce the number of other memberships made available
for purchase or renewal each year or even to eliminate such memberships.
Q: Describe the temporary membership.
A: Temporary Membership provides access, on a specified
short-term basis, to the commercial amenities of the Club such as
Lespri's Naturopathica Spa, Cellars Restaurant and other such amenities.
Temporary Memberships may be offered to a potential member who wishes
to experience the Club and its amenities one time prior to purchasing
a membership.
Resort Guests of the Club Manager, Lespri Resort Property Management,
are also offered Temporary Membership during their stay in Park
City. Their patronage of the Club supports the economic viability
of the commercial amenities and thus alleviates any need for the
other Membership to subsidize the operation of these amenities through
dues or assessments.
